You are solely responsible for any consequences, losses, or damages, whether direct or indirect, that we may incur because of unauthorized activities conducted by you as outlined above. Engaging in such activities may subject you to criminal or civil liability.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification under this User Agreement. In such cases, you agree to provide us with cooperation as reasonably requested.
3. Terms & Conditions for Incorporation, Startup, and Registration Services
a. Clients are responsible for paying stamp duty charges based on actual costs.
b. For bank account or payment services, your name, phone number, and email will be shared with a bank of your choice upon your consent. The decision to open or decline your request rests with the bank according to their policies.
c. Additional charges may apply if you wish to register a Partnership Firm with the Registrar of Firms in respective states. These charges will be communicated upfront.
d. Up to 4 name options can be submitted in a single RUN name approval request.
e. Authorized capital refers to the shares a company can issue at any time and can be increased in the future. Paid-up capital represents the amount invested by shareholders.
f. Stamp duty for incorporation will be an additional cost depending on the state of incorporation.
g. Statutory Auditor fees are to be paid directly to the Independent Auditor appointed by the Board of Directors, based on actuals. All companies must appoint an Independent Statutory Auditor of their choice within 30 days of incorporation.
h. Our incorporation services include 2 Digital Signature Certificates (DSC) and cover up to 2 Directors. Additional fees will apply if there are more than 2 Directors or shareholders due to additional DSC requirements.
i. Additional authorized capital can be purchased during incorporation if needed. Please contact us for pricing details.

4. Terms & Conditions for Intellectual Property Services (Trademark, Patent, and Copyright)
a. Prices quoted are for one class unless otherwise specified. Additional classes will incur extra charges.
b. Compliance ADDA or its representatives do not provide recommendations regarding names for trademark filing and cannot guarantee availability or registration.
c. It is the client's responsibility to ensure the accuracy of information provided in trademark forms. Compliance ADDA disclaims liability for incomplete or inaccurate information.
d. Compliance ADDA is not liable for objections, refusals, oppositions, or other issues that may arise during the trademark registration process. Clients acknowledge that such matters are beyond Compliance ADDA's control.
e. Compliance ADDA cannot guarantee acceptance or registration of the trademark by the Trademarks Office and/or through the objection reply process. Approval depends on the discretion of the Trademarks Office. While Compliance ADDA will make reasonable efforts to assist clients, ultimate approval is not guaranteed.
f. Clients are responsible for monitoring the status of their trademark application on the IPINDIA portal. Compliance ADDA may provide assistance upon request.
g. Compliance ADDA cannot be held responsible for Show Cause Hearings or other issues during the Objection process. Clients acknowledge that such matters are beyond Compliance ADDA's control.
h. Compliance ADDA maintains confidentiality of client data unless legally compelled by a court, administrative agency, or governmental body.

Compliance ADDA shall not be considered in breach or default under any terms of service, and shall not be liable to the Client for any cessation, interruption, or delay in the performance of its obligations by reason of earthquake, flood, fire, storm, lightning, drought, landslide, hurricane, cyclone, typhoon, tornado, natural disaster, act of God or the public enemy, epidemic, famine or plague, action of a court or public authority, change in law, explosion, war, terrorism, armed conflict, labor strike, lockout, boycott or similar event beyond our reasonable control, whether foreseen or unforeseen (each a "Force Majeure Event").
